Mas Procurement LLC ("Mas Procurement") is a Colorado-based procurement consulting business operating as a single-member limited liability company. These Terms of Service (“Terms”) govern your use of the website and Mas Procurement’s procurement consulting, sourcing, and supplier advisory services (collectively, the “Services”). By accessing this website or engaging Mas Procurement’s Services, you agree to these Terms. If you do not agree, please discontinue use.

1. Our Services

Mas Procurement provides professional procurement consulting services to businesses, including procurement strategy, strategic sourcing, supplier evaluation, spend and cost analysis, contract support, process improvement, and other administrative support services.

The Services are advisory only. Mas Procurement does not make purchasing decisions, sign contracts, or act as your agent unless expressly agreed to in writing.

Specific scopes, timelines, deliverables, and fees will be set forth in a written proposal, statement of work (SOW), or engagement agreement. In the event of a conflict, those documents shall control.

2. Client Responsibilities

To ensure effective consulting outcomes, you agree to:

  • Provide accurate, complete, and timely information

  • Designate a primary decision-maker and point of contact

  • Use your own judgment when implementing recommendations

  • Comply with all applicable laws, regulations, and internal policies

Mas Procurement is not responsible for delays or outcomes caused by incomplete, inaccurate, or late information provided by you.

3. Fees and Payment

Fees, billing structure, and payment terms will be outlined in your written proposal, SOW, and/or engagement agreement.

Unless otherwise stated:

  • Invoices are due within 30 days of the invoice date (Net 30)

  • Late payments may accrue interest as permitted by Colorado law

  • Mas Procurement may suspend or terminate Services for non-payment

4. No Guarantee of Results

While Mas Procurement applies professional expertise and commercially reasonable efforts, the consultant does not guarantee specific results, including cost savings, supplier performance, or financial outcomes. All procurement and business decisions remain your responsibility.

5. Confidentiality

Mas Procurement respects the confidentiality of information you share with the consultant and will not disclose non-public information except as necessary to provide the Services or as required by law.

You agree to keep Mas Procurement’s proprietary materials, methodologies, and business information confidential.

6. Intellectual Property

All tools, templates, frameworks, processes, and methodologies used or developed by Mas Procurement remain the consultant’s intellectual property.

Upon full payment, you are granted a non-exclusive, non-transferable, internal-use license to use final deliverables for your business purposes only.

7. Independent Contractor

Mas Procurement operates as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, agency, or fiduciary relationship.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Mas Procurement is not liable for indirect, incidental, consequential, or special damages

  • Mas Procurement’s total liability related to the Services will not exceed the fees paid for the specific engagement giving rise to the claim

9. Termination

Either party may terminate an engagement in accordance with the applicable agreement or with 30-day written notice.

You are responsible for payment for all Services performed up to the termination date.

10. Privacy and Data Use

Your use of the website and Services is also governed by the Privacy Policy, which explains how Mas Procurement collects, use, and protect personal information.

Mas Procurement collects only the information necessary to operate the website and provide Services, such as contact details submitted through forms or email. Mas Procurement does not sell personal information.

By using the website or Services, you consent to the data practices as described in the Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

12. Changes to These Terms

These Terms may be updated periodically to reflect changes to Services or legal requirements. Updates will be posted on this page, and continued use of the website or Services constitutes acceptance of the revised Terms.
